ENGLISH

1. Service Description

NailPro is a mobile application (iOS and Android) and web platform that enables nail technicians and beauty professionals (hereafter, "Professionals") to manage bookings, payments, messaging, personalized branding, and relationships with their clients.

Each Professional receives a branded app instance, where their clients (hereafter, "Clients") can book services, make payments, and communicate with the Professional.

Access to NailPro is provided via:

  • Unique personal link (e.g., https://nailpro.ai/u/{handle})
  • QR code
  • Direct link provided by the Professional

This service is not a marketplace: no Client sees other Professionals or competing offers. Each Client is linked to a single Professional.

2. License to Use

Professionals are granted a limited, non-exclusive, non-transferable license to use NailPro to manage their independent studio or activity for the duration of their active subscription.

Clients are granted a limited, non-exclusive license to view the Professional's app, book, pay, and communicate.

Both parties may not: (a) reproduce, modify, or create derivative works; (b) sell, rent, lend, or sublicense the service; (c) access or reverse-engineer the code without authorization; (d) use the app for illegal or harmful purposes.

3. Platform Subscription (Professionals)

3.1 Models and Pricing

Professionals can subscribe to NailPro via in-app purchase (App Store / Google Play) with a single monthly subscription at €4.99/month, automatically renewing each month. Annual, lifetime, and promotional plans are not offered. The current price is always shown in the App Store, Google Play, and on nailpro.ai at the time of purchase.

3.2 Free Trial

NailPro offers a 30-day free trial, with full feature access, no credit card required at registration. The trial is an in-app promotional offer. By downloading the app, the Professional acknowledges that at the end of the trial, they must subscribe to a paid plan to continue using the service (or cancel before the trial ends).

3.3 Automatic Renewal and Management

  • Subscriptions renew automatically at expiration, charging the credit card / payment account registered in Apple (App Store) or Google (Google Play).
  • The Professional may disable automatic renewal at any time through Apple Account settings (App Store) or Google Account settings (Google Play).
  • The Company is not responsible for delays or failed renewals due to technical issues with Apple or Google payment platforms.

3.4 Third-Party Payment Services

  • Purchases are processed via RevenueCat, which acts as an intermediary between the app and Apple / Google platforms.
  • Apple / Google are solely responsible for payment processing and receipt issuance.
  • The Company does not collect or store credit card data; this occurs entirely through Apple and Google systems.

4. Client → Professional Payments (Stripe Connect)

4.1 Method and Responsibility

Clients pay for Professional services directly via Stripe Connect. The Professional is the payment recipient; NailPro is the technical intermediary facilitating transfer.

The Company is not the merchant of record for Client payments for services. All payments are transferred weekly (every Monday) to the Professional's bank account.

4.2 Platform Fee

The Company applies a platform fee of 1.9% + €0.25 on each Client → Professional card payment processed through the app. This fee is calculated automatically and deducted from the weekly transfer. It does not apply to cash or off-app payments.

4.3 Stripe Terms

  • The Professional authorizes NailPro to use her bank account details for transfers via Stripe Connect.
  • Stripe's responsibility: payment processing, transaction security, regulatory compliance.
  • Professional's responsibility: ensure the bank account is in her name and she has authority to receive funds.
  • The Company is not liable for errors, delays, or rejections by Stripe in processing payments.

5. Acceptable Use Policy

Both parties agree not to:

  1. Use NailPro for illegal, fraudulent, or unlawful activities.
  2. Harass, threaten, or harm other users.
  3. Collect unauthorized data from other users.
  4. Attempt to access protected app sections without permission.
  5. Use automated bots, scrapers, or data-extraction tools.
  6. Infringe on the Company's intellectual property (logos, design, source code, editorial content).
  7. Use NailPro for alternative commercial purposes (e.g., building competing marketplaces, reselling features).

Upon confirmed violation, the Company reserves the right to:

  • Suspend or close the account immediately
  • Delete personal and service data
  • Report to competent authorities if necessary

6. Content and User Responsibility

6.1 Professional Content

The Professional retains ownership of all content she uploads (photos, service descriptions, pricing, messages, client data). The Company is only a hosting and data management provider.

The Professional guarantees that:

  • Content is her own or authorized.
  • Content does not violate third-party rights.
  • Content is not illegal or offensive.

If a third party reports copyright or image right infringement, the Company may remove the content and notify the Professional.

6.2 Client Data Managed by the Professional

Client personal data (name, phone, email, preferences, booking history) remains under the control and responsibility of the Professional.

NailPro is a data processing service provider (Data Processor, per GDPR Article 28) on behalf of the Professional (Data Controller).

See the Privacy Policy for details on GDPR responsibilities.

7. Messaging and Gaia Assistant

NailPro provides an AI assistant (Gaia) to help the Professional manage the business, respond to Clients, and organize bookings.

Gaia Limitations:

  • Gaia cannot autonomously book services, charge payments, or send messages without explicit Professional confirmation.
  • Gaia is a decision-support tool; the Professional remains responsible for all actions taken via the app.
  • Business data (CRM, messages, pricing) processed by Gaia remains confidential and is not used to train public models.

WhatsApp integrated messaging is not available in the current version. Clients and Professionals can communicate only via the NailPro platform.

8. Data and Privacy

For a complete description of how personal data is collected, processed, and protected, see the Privacy Policy (available at https://nailpro.ai/privacy).

In brief:

  • The Company collects data essential to service operation (accounts, bookings, payments, app diagnostics).
  • The Company does not sell personal data to third parties.
  • Data is transferred to external providers only for service delivery (Supabase, Stripe, RevenueCat, Apple, Google, Resend).
  • Both parties have rights of access, correction, erasure, and portability per GDPR.

9. Limitation of Liability

The Company provides NailPro "as is," except as expressly stated herein. To the extent permitted by Italian law and Consumer Code:

  • The Company makes no warranty that NailPro will be uninterrupted, error-free, or fit for a specific purpose.
  • The Company is not liable for data loss, lost profits, or indirect damages arising from NailPro malfunction.
  • The Company's total liability (if found) does not exceed the amount paid by the Professional in the prior 12 months (or the statutory minimum, whichever is greater).
  • For Clients (non-paying users), no monetary remedy applies; the sole remedy is account deactivation.

10. Disclaimers

The Company is not liable for:

  • Service interruptions, slowdowns, or unavailability of app stores, payment platforms (Apple, Google, Stripe, RevenueCat), or internet networks.
  • User errors or negligence (e.g., forgotten passwords, unauthorized account access).
  • Illegal or harmful content uploaded by users.
  • Privacy breaches caused by user negligence (e.g., manually sharing data with third parties).
  • Damage arising from misuse of Gaia or AI tools.

11. Term and Termination

11.1 Subscription Term

A Professional's subscription remains active until:

  • User data may be deleted per the Privacy Policy, except where legally required (e.g., tax records).
  • The Professional has no right to refunds for already-paid subscriptions.

12. Changes to Terms

The Company reserves the right to modify these Terms at any time, with at least 30 days' notice via email or in-app notification.

If the Professional continues using NailPro after notice, she accepts the new Terms. If she does not accept, she must cancel before the effective date.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Italian Republic, including the Civil Code and Consumer Code (for consumer Clients).

Exclusive jurisdiction: Court of Turin (Torino), Italy.

14. Additional Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement. Verbal agreements or modifications are invalid unless signed in writing.

14.2 Severability

If any provision is invalid, that provision is void, and the remainder of these Terms remains valid.

14.3 No Waiver
